ve Yeni Mağazacılık AŞ ortak açıklamasına göre, konuya ilişkin pay devir sözleşmesi 17 Nisan 2026'da imzalanırken, pay devri Sabancı Holding'in şirketteki yüzde 57,12'lik hissesinin yanı sıra Carrefour Grubu'na bağlı Carrefour Nederland BV'nin yüzde 32,16'lık hissesini kapsıyor. İşlemin tamamlanmasıyla, Carrefoursa sermayesinin toplam yüzde 89,28'ine karşılık gelen paylar Yeni Mağazacılık AŞ kontrolüne geçmiş olacak. Taraflar arasında imzalanan anlaşma kapsamında devir işlemi, 325 milyon dolarlık şirket değeri esas alınarak, kapanış tarihindeki net borç ve işletme sermayesi düzeltmelerine göre hesaplanacak nihai hisse değeri üzerinden gerçekleştirilecek. Devir işlemleri Rekabet Kurulu tarafından gerekli onayın alınması da dahil olmak üzere tüm kapanış koşullarının yerine getirilmesine bağlı olarak tamamlanacak, böylece Sabancı Holding'in ve Carrefour Grubu'nun Carrefoursa'da herhangi bir payı kalmayacak. Açıklamada görüşlerine yer verilen Yeni Mağazacılık AŞ Yönetim Kurulu üyesi Erhan Bostan, söz konusu işlemin uzun vadeli büyüme stratejisinin önemli bir parçası olduğunun altını çizdi. Bostan, Türkiye genelinde yaygın mağaza ağı, güçlü tedarik zinciri ve operasyonel verimlilik odağıyla, organize perakende sektöründe sürdürülebilir değer yaratmayı önceliklendirdiklerini belirterek, şunları kaydetti: "Bu yaklaşımımız, yalnızca mevcut operasyonlarımızı büyütmeyi değil, aynı zamanda farklı iş modelleri ve formatlar üzerinden yeni büyüme alanları yaratmayı da kapsıyor. Bu çerçevede Carrefoursa'nın köklü geçmişi ve güçlü mağaza ağı ile grubumuzun perakende tecrübesinin bir araya gelmesinin önemli bir potansiyel sunduğuna inanıyoruz. A101 ve Carrefoursa'nın faaliyetlerini farklı yönetim yapıları altında, ayrı segmentlerde ve kendi marka kimliklerini koruyarak bağımsız şekilde sürdürmesi öngörülmektedir. Bu doğrultuda temel hedefimiz, tüm paydaşlarımızla bir arada çalışarak, Carrefoursa'nın faaliyet gösterdiği iş alanlarında güçlü ve sürdürülebilir büyüme sağlamak ve daha geniş bir müşteri kitlesine ulaşan, çeşitlenen bir perakende yapısı oluşturmaktır." Sabancı Holding Stratejik Yatırımlar Başkanı Gökhan Eyigün de sahip oldukları portföyü, geleneksel holding modelinin ötesine geçen, icrada çevikliği öne çıkaran, yatırımcılarına sürdürülebilir değer yaratmayı önceliklendiren bir anlayışla ele aldıklarını belirterek, bu yaklaşımın yalnızca mevcut varlıkları büyütmeyi değil, stratejik öncelikler doğrultusunda portföye giriş ve çıkışları da kapsadığını bildirdi. ​​​​​​​Eyigün, yaptıkları değerlendirmeler ve tüm paydaşlarla paylaştıkları stratejik yol haritası kapsamında, Sabancı Holding portföyünde bulunan Carrefoursa hisselerinin Yeni Mağazacılık AŞ'ye devir sürecini başlattıklarını aktararak, şu ifadeleri kullandı: "Dinamik portföy yaklaşımımız kapsamında, 30 yıllık ortağımız Carrefour ile birlikte aldığımız bu hisse devir kararı, gelecek hedeflerine çok daha odaklı ilerleyen bir Sabancı yaratma vizyonumuzun önemli bir parçasıdır.
